Important Notice: “BNK” is strictly a brand identifier. BNK Services does not provide banking, financial, loan, deposit, investment, or payment processing services. We are not regulated by the RBI and do not participate in any financial sector activities.

The purpose of these Terms of Service (the “Terms”) is to establish the legal framework under which BNK Services provides its IT and software development services to you.   • “Deliverables”: The final software code, applications, or technical products produced by the Company for the Client.

5. Acceptance of Terms

By utilizing our website, creating a user account, or signing a project proposal with us, you explicitly acknowledge that you have read, understood, and agreed to be bound by these Terms of Service. If you do not agree with any part of these Terms, you must not use our website or procure our services.

6. Eligibility

Our services are intended strictly for corporate clients, business entities, and adults. To use our services, you must be at least 18 years of age and possess the legal authority to enter into binding contracts on behalf of yourself or the business entity you represent.

7. Services Provided

We offer a range of Information Technology services, including but not limited to custom software development, cloud computing setup, SEO tools, and business process automation. We execute all services with professional care and industry-standard technical proficiency. We reserve the right to modify, suspend, or discontinue any specific service offering at our sole discretion, with prior notice provided to active clients.

8. User Accounts

Certain areas of our website or specific SEO tools may require you to create a User Account. When creating an account, you must provide accurate, complete, and up-to-date information. You are solely responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

9. Quotes and Payments

9.1 Project Quotes

All project quotes provided by BNK Services are estimates based on the initial requirements discussed. Quotes remain valid for a period of 30 days. Should project requirements expand (scope creep), we will issue a revised quote for your approval before proceeding with the additional work.

9.2 Payment Terms

Payments for custom software development and IT services are typically structured in milestones, which will be clearly defined in your specific Service Agreement. Invoices must be paid within the timeframe specified on the invoice. Failure to make timely payments may result in a suspension of project development or revocation of access to delivered software.

10. Software Ownership and Intellectual Property

10.1 Company Intellectual Property

BNK Services retains all rights, title, and interest in our pre-existing codebase, proprietary frameworks, libraries, and internal development tools used to create your software. These are licensed to you, not sold.

10.2 Client Code Ownership

Upon complete and final payment of all project invoices, BNK Services will transfer the intellectual property rights and code ownership of the specific, custom-developed application logic (the Deliverables) to you, the Client. You will hold the copyright for the final software product tailored exclusively for your business.

11. Project Delivery and Project Delays

11.1 Delivery

We strive to deliver all software projects according to the timelines agreed upon in the Service Agreement. Delivery is considered complete when the software is deployed to the production environment or the source code is transferred to your repository, subject to successful User Acceptance Testing (UAT).

11.2 Project Delays

While we utilize agile methodologies to ensure timely delivery, software development can encounter unforeseen technical challenges. BNK Services is not liable for project delays caused by external factors, including but not limited to: delayed client feedback, changes in project scope, or third-party service outages.

12. Third-Party APIs

Many modern applications rely on Third-Party APIs (e.g., payment gateways, external databases, mapping services). While we expertly integrate these APIs into your software, we have no control over their functionality, uptime, or pricing. BNK Services cannot be held responsible for software failures or data breaches originating directly from a third-party API provider.

13. Service Availability

We strive to ensure our website and hosted SEO tools maintain 99.9% uptime. However, we do not guarantee continuous, uninterrupted access to our platforms. Service availability may occasionally be affected by routine maintenance, server upgrades, or unexpected network failures.

14. User Responsibilities

As a Client or User, you are responsible for:

  • Providing clear, timely, and accurate requirements for your software projects.
  • Testing delivered software during the designated UAT phase and providing constructive feedback.
  • Ensuring that any media, data, or assets you provide to us do not infringe on the intellectual property rights of others.
  • Using our software and tools strictly for lawful purposes.

15. Company Responsibilities

BNK Services is responsible for:

  • Delivering high-quality, scalable, and secure code.
  • Maintaining transparent communication throughout the project lifecycle.
  • Respecting your business confidentiality and executing Non-Disclosure Agreements (NDAs) when requested.

16. Warranty Disclaimer

Our software, website, and IT services are provided on an “AS IS” and “AS AVAILABLE” basis. While we adhere to rigorous quality assurance protocols, BNK Services expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our software will be completely error-free or immune to sophisticated cyber-attacks.

17. Limitation of Liability

To the maximum extent permitted by applicable law, BNK Services, its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of (or inability to access or use) our services.
  • Any conduct or content of any third party integrated into the software.
  • Any unauthorized access, use, or alteration of your transmissions or content.

In no event shall our total liability to you exceed the amount you paid to BNK Services for the specific service in the preceding twelve (12) months.

18. Indemnification

You agree to defend, indemnify, and hold harmless BNK Services and its employees from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:

  • Your use of and access to our website or software.
  • Your violation of any term of these Terms of Service.
  • Your violation of any third-party right, including any copyright, property, or privacy right.

19. Termination

We may terminate or suspend your User Account or immediately halt project development without prior notice or liability if you breach these Terms of Service (e.g., failure to process milestone payments). Upon termination, your right to use our proprietary tools and website will cease immediately. Any outstanding payments for work already completed will become due immediately.

20. Dispute Resolution

In the event of a dispute arising out of or relating to these Terms or our services, both parties agree to first attempt to resolve the issue informally through good-faith negotiations for a period of at least 30 days. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in our operational jurisdiction, rather than in a court of law.

21. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

22. Updates to Policy

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
